General Terms and Conditions – Business Customers (B2B)
Article 1 – Definitions
1. DVM: DVM International B.V., having its registered office at Vlierlaan 5, 3735 KT Bosch en Duin, the Netherlands, Chamber of Commerce no. 69415234, VAT no. NL857866436B01.
2. Customer: any natural or legal person acting in the course of a trade, business or profession who enters into an agreement with DVM.
3. Products: goods offered or supplied by DVM, including standard fire blankets, professional Fire Limitation Blankets, accessories and custom-made products.
4. Customisation: products or services manufactured, modified, printed, packaged or assembled to the Customer’s specifications, including Private Label and OEM orders.
5. In writing: on paper or electronically, including by email, provided that the content can be retained in a durable form.
6. Incoterms: the trade rules published by the International Chamber of Commerce, applicable only where expressly agreed, specifying the edition and named place of delivery.
Article 2 – Applicability and order of precedence
1. These terms apply to all business quotations, offers, orders, deliveries and agreements of DVM, including international trade, distribution, Private Label and OEM.
2. The Customer’s general or purchasing terms are expressly rejected unless specifically accepted by DVM in writing.
3. Separate arrangements agreed in writing by both parties prevail over these terms in the event of a conflict, solely in respect of the subject matter of the deviation.
4. A specific order confirmation prevails over a general quotation to the extent that the Customer has accepted the deviation. Technical appendices and approved specifications form part of the agreement where expressly identified.
5. If a provision is void or unenforceable, the remaining provisions shall remain effective to the greatest extent possible. The parties shall consult on a lawful replacement having a comparable purpose.
Article 3 – Quotations, information and formation of the agreement
1. Quotations are non-binding unless their validity period or binding nature is expressly stated. Obvious mistakes and clerical errors do not bind DVM.
2. An agreement is formed upon DVM’s written order confirmation or when DVM commences performance with the Customer’s consent.
3. Before accepting an order, DVM may request further information regarding the Customer, final destination, intended use, payment security and applicable export rules.
4. Oral promises or deviations become binding only after written confirmation by an authorised DVM representative.
5. Images, samples and general technical information are indicative unless specific characteristics have been expressly guaranteed in writing.
Article 4 – Specifications, standards and product documentation
1. Agreed product specifications, dimensions, materials, packaging and performance requirements shall be recorded in the quotation, order confirmation or technical appendix.
2. References to standards, marks, test results or certifications apply only to the product actually examined, the relevant version and the scope of the relevant report.
3. DVM does not guarantee certification, approval or suitability for a particular market unless expressly agreed in writing.
4. Before ordering, the Customer shall verify that the products, instructions, markings and documents are suitable for the intended use and destination market. DVM’s mandatory legal obligations remain unaffected.
5. Changes to raw materials, production or product design that affect an agreed essential characteristic require prior written coordination.
Article 5 – Private Label, OEM and design approval
1. For customised orders, the Customer shall provide complete and accurate specifications, logos, texts, translations, barcodes, QR codes, artwork, packaging information and other necessary information in good time.
2. DVM may submit a digital or physical proof, print file or technical drawing for approval. Production shall begin only after the agreed written approvals and any required advance payment.
3. The Customer is responsible for the accuracy of content, trademark rights and translations supplied by it, except for errors demonstrably caused by DVM or which DVM must prevent under mandatory law.
4. After final approval, changes may affect price, schedule, minimum order quantities, materials and costs already incurred; implementation requires renewed written agreement.
5. Overproduction, technical tolerances and samples are permitted only where agreed or within reasonable production tolerances communicated in advance.
Article 6 – Trademarks, intellectual property and claims
1. All rights in DVM trademarks, designs, documentation, texts, images, reports and know-how remain with DVM or its licensors unless expressly agreed otherwise in writing.
2. The Customer grants DVM a non-exclusive licence to use logos, texts and designs supplied by the Customer solely to perform the order, and warrants that it is entitled to grant such rights.
3. Use of the names DVM, GARAN, TÜV SÜD, SGS or other names, logos, certification marks and reports in advertising, packaging or sales documentation requires the relevant prior permission and compliance with applicable usage rules.
4. The Customer may not extend test results or certification claims to products, versions or applications beyond those demonstrably covered.
5. In the event of third-party claims arising from infringing materials supplied by the Customer, the Customer shall indemnify DVM against reasonable, substantiated loss and costs to the extent permitted by law and attributable to the Customer.
Article 7 – Prices, taxes and additional charges
1. Prices for business transactions exclude VAT, import duties, levies, customs-clearance costs, insurance and transport costs unless expressly stated otherwise.
2. Quotations specify the applicable currency, quantities, volume tiers, any set-up or printing charges and the agreed delivery term.
3. For cross-border transactions, tax treatment shall be determined in accordance with applicable law and the customer and delivery information provided.
4. A confirmed price may be changed only where agreed in writing or permitted by law; DVM shall explain any proposed price adjustment in advance.
5. Costs arising from additional requests or inaccurate information supplied by the Customer shall be passed on only insofar as reasonable, substantiated and contractually permissible.
Article 8 – Payment and security
1. Payment method, deadlines and any advance payments shall be specified in the quotation or order confirmation. DVM may agree an advance payment or full prepayment for customised orders.
2. Payment shall be made without unauthorised set-off or withholding, to the agreed account and in the agreed currency.
3. In the event of late payment, once default has arisen under the law or agreement, the Customer shall owe statutory commercial interest and reasonable extrajudicial collection costs.
4. Where there are objectively justified doubts about creditworthiness, DVM may request additional security or prepayment and, to the extent permitted by law, suspend further performance.
5. Payment of an advance does not automatically mean production has started; technical approvals and other agreed conditions may also be required.
Article 9 – Production scheduling and delivery times
1. Delivery and production schedules are based on the information, approvals and payments agreed with the Customer.
2. Delivery times are estimates unless expressly agreed as binding deadlines in writing.
3. DVM shall notify the Customer of material anticipated delays as soon as reasonably possible.
4. Delays caused by incomplete specifications, late approvals, changes requested by the Customer or late payments may result in an adjusted delivery schedule.
5. The Customer’s statutory and contractual remedies in the event of attributable delay remain applicable.
Article 10 – Delivery, transport and transfer of risk
1. The agreed delivery term, place of delivery, transport arrangements and any applicable Incoterms rule shall be recorded in the quotation or order confirmation.
2. Where Incoterms are agreed, the parties shall identify the applicable edition and named place. The agreed rule determines the allocation of transport obligations, costs and risks to the extent applicable.
3. In the absence of an agreed Incoterms rule, the delivery arrangements and transfer of risk shall be determined by the agreement and applicable law.
4. The Customer shall provide correct delivery details and cooperate with collection, customs formalities and receipt of the products as agreed.
5. Partial deliveries are permitted only where agreed or reasonably justified and without materially prejudicing the Customer’s contractual interests.
Article 11 – Export, customs and sanctions
1. The parties shall comply with applicable export-control, customs, sanctions and trade laws.
2. The Customer shall provide accurate information regarding the destination, end user and intended application and shall not resupply products in breach of applicable sanctions.
3. Responsibility for import permits, customs clearance, import duties, taxes and local approvals follows the agreed delivery term and applicable mandatory rules.
4. DVM may refuse or suspend performance insofar as necessary to avoid a genuine risk of breaching applicable law; the parties shall consult on the consequences.
Article 12 – Retention of title
1. To the extent legally permitted, supplied products remain DVM’s property until the Customer has satisfied all claims for which retention of title may be stipulated under applicable Dutch law.
2. While retention of title applies, the Customer shall store products carefully, keep them identifiable and not encumber them, except for ordinary resale within an expressly permitted trading relationship.
3. For cross-border deliveries, the proprietary effect of retention of title is also governed by applicable local law; the parties shall make additional arrangements where necessary.
Article 13 – Inspection, defects and complaints
1. The Customer shall inspect delivered products within a reasonable period for quantities, visible transport damage and conformity with the order confirmation.
2. Visible discrepancies shall be reported in writing as soon as reasonably possible, with order details and, where reasonable, photographs or other supporting evidence.
3. Non-apparent defects shall be reported within a reasonable time after discovery in accordance with applicable statutory rules.
4. A complaint does not automatically release the Customer from the obligation to pay the undisputed portion of the delivery.
5. DVM shall be given a reasonable opportunity to investigate a complaint and, where appropriate, offer repair, replacement, supplementary delivery or another agreed remedy.
Article 14 – Business warranties and GARAN
1. Business Customers are entitled to the warranties expressly stated in a quotation, order confirmation, separate warranty statement or written agreement, without prejudice to mandatory statutory rights.
2. The commercial GARAN 10-Year Warranty does not automatically apply to business transactions, including wholesale, distribution, Private Label and OEM.
3. Application of GARAN requires DVM’s express prior written confirmation identifying the products, duration, geographic coverage and conditions.
4. The Customer may use the GARAN logo, the GARAN name or the associated warranty statement only with DVM’s prior written consent.
5. For Private Label and OEM products, the parties may separately agree on warranties, branding, documentation and handling of end-user claims.
6. The Customer is responsible for additional warranties it provides to third parties without DVM’s consent; DVM’s statutory obligations remain unaffected.
Article 15 – Product safety, traceability and recalls
1. Each party shall comply with the product-safety, labelling, instruction, traceability and market-surveillance rules applicable to its role.
2. For Private Label and OEM, the parties shall record in writing who acts as manufacturer, importer, distributor or other relevant economic operator for the market concerned, insofar as those roles are determined by law.
3. The Customer shall promptly provide information about safety complaints, incidents and suspected non-conformity and reasonably cooperate with investigations and corrective measures.
4. Where a warning, recall or notification to an authority is necessary, the parties shall coordinate to the extent permitted by law; statutory notification duties must not be delayed.
5. Costs and liability for corrective measures shall be allocated according to cause, contractual arrangements and applicable law; nothing excludes non-excludable product liability.
Article 16 – Cancellation, changes and customisation
1. A confirmed business order cannot be cancelled unilaterally without charge unless the law or agreement provides otherwise.
2. Where cancellation is agreed in writing, DVM may charge substantiated and reasonably unavoidable costs, work already performed and agreed cancellation fees.
3. For customised orders, cancellation after design approval or commencement of production may in particular entail reimbursement of raw materials, printing, production, storage and other substantiated commitments.
4. DVM shall take reasonable steps to mitigate loss and provide a breakdown of costs upon request.
5. Changes to quantities, specifications or schedules are binding only after written confirmation of their effects on price and delivery time.
Article 17 – Liability
1. The parties are liable for attributable breaches in accordance with applicable law and expressly agreed arrangements.
2. To the extent permitted by law, DVM’s contractual liability for direct loss per event is limited to the net invoice amount of the affected delivery, subject to a higher cap equal to the amount actually paid under the applicable liability insurance where that amount is greater.
3. To the extent permitted by law, DVM is not liable for indirect loss such as lost profits, loss of turnover, lost savings or business interruption, except in cases of intent or deliberate recklessness by its management or other cases where exclusion is prohibited.
4. These limitations do not apply to liability that cannot be excluded under mandatory law, including relevant product liability and loss caused by intent or deliberate recklessness by management.
5. The Customer shall take reasonable steps to mitigate loss and give DVM a timely opportunity to investigate any claim.
Article 18 – Force majeure
1. A party is not required to perform for as long as a circumstance not attributable to it prevents performance, to the extent permitted by applicable law.
2. Such circumstances may, depending on the facts, include serious production disruptions, natural disasters, war, statutory export restrictions, widespread transport disruption and other events beyond reasonable control.
3. The affected party shall notify the circumstances and expected consequences as soon as reasonably possible and mitigate their effects where reasonable.
4. In the event of prolonged force majeure, the parties shall consult on postponement, alternative delivery or termination; statutory rights remain unaffected.
Article 19 – Confidentiality
1. The parties shall treat non-public commercial, technical and financial information as confidential where it is designated confidential or should reasonably be understood to be confidential.
2. Disclosure is permitted where necessary for performance by personnel or advisers bound by confidentiality, or where required by law.
3. Confidentiality does not apply to information demonstrably already public, lawfully obtained independently or made public without breach.
Article 20 – Resale and market communications
1. Upon resale, the Customer is responsible for its own sales terms, customer service, local consumer rights and commercial representations, insofar as applicable.
2. No exclusive distribution rights, minimum-turnover guarantees or authority to bind DVM arise without express written agreement.
3. Use of product claims, test results and certifications must be demonstrably accurate, current and limited to the relevant product version.
4. The parties shall not apply arrangements contrary to applicable competition law, including prohibited restrictions on resale prices or territorial sales.
Article 21 – Data protection
1. The parties shall process personal data in accordance with applicable privacy law, including the GDPR where relevant.
2. Where performance of a project requires a data processing agreement or other supplementary data-protection arrangements, the parties shall record them separately in writing.
Article 22 – Governing law and disputes
1. All agreements with DVM are governed by Dutch law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
2. To the extent legally permitted, disputes shall be submitted exclusively to the competent court of the District Court of Midden-Nederland, the Netherlands, without prejudice to DVM’s right to bring proceedings before another court having jurisdiction under mandatory law.
3. The parties shall first seek to resolve disputes amicably, without prejudice to their right to take timely legal action.
Article 23 – Language, versions and amendments
1. These General Terms and Conditions were originally drafted in Dutch. The Dutch-language version is the authoritative and legally controlling text. This English version and translations into other languages are provided for convenience and information only. In the event of any discrepancy or difference in interpretation, the Dutch text prevails to the extent permitted by applicable law.
2. The version supplied to the Customer or validly incorporated at the time the agreement is concluded applies to that agreement.
3. Amendments do not apply retroactively to agreements already concluded unless validly agreed by the parties in writing.
